One of the most critical aspects of every sale is the contract between the parties. Most people pay little attention until something goes wrong, then hope - often in vain - that their contract will protect them. This presentation will cover the most common mistakes buyers and sellers make and how to avoid them. It will start with a review of recent sales cases. It will include contract mythology (oral contracts, MOUs and "Partnering Agreements"), making sure you actually have formed a contract, warranty issues, the ever-important disclaimers of liability, remedy issues, deadly indemnification clauses (or how to lose your company without really trying), protecting intellectual property, sly termination clauses, and will try to demystify negotiation techniques.
